Mr. Nelson's practice focuses on health care and corporate transactional matters. He has advised physicians and physician groups, hospitals, medical device manufacturers and pharmaceutical companies in all areas impacted by the health laws. He has lent his experience to all aspects of the administrative, operational and transactional issues faced by health care organizations, including issuing relating to structuring, compliance, licensing, negotiating and preparing various business agreements.

Creation and implementation of a corporate compliance program for a multi-billion dollar international durable medical device company to address compliance deficiencies related to consultant and vendor relationships, product marketing, education and training activities, clinical research and product development, and FDA regulatory issues
Advise health care providers and suppliers on transactions that implicate federal and state health care laws and regulations, such as the federal physician self-referral prohibition (the "Stark Law"), the federal anti-kickback provisions (the "Anti-Kickback Statute"), the Health Insurance Portability and Accountability Act ("HIPAA"), the FDA regulations, and the Texas illegal remuneration law
Preparation of memoranda and opinion letters analyzing various hospital-physician joint venture arrangements for compliance with federal laws and regulations including the Stark Law and the Anti-Kickback Statute;
Analysis and preparation of documents such as physician recruitment agreements, employment agreements, lease agreements and compliance program policies and procedures;
Preparation of various agreements for major medical device manufacturers, pharmaceutical companies, hospitals and hospital systems, including consulting agreements, clinical study agreements, license agreements, research agreements, recruitment agreements, employment agreements, and storage agreements;
Analysis of documents for privilege and substantive issues in various contexts, including investigations launched by the SEC, the OIG, the DOJ, and internal investigations, as well as for discovery in complex commercial litigation.
