• Assist in the acquisition and development of Colombia mining operation on behalf of Australian client and its parent holding company (used for acquiring and exploiting mining concessions through a Colombian subsidiary).
• Advise public company concerning the registration requirements for the oil concession award process before the Natural Hydrocarbons Agency of Colombia.
• Draft and negotiate supply agreements and master service agreements on behalf of an oil & gas exploration company with its vendors.
• Counsel to biodiesel company on general corporate matters.
• Advise general counsel of joint venture between major chemical company and major oil company concerning (i) review of major contracts; (ii) international corporate governance and commercial legal issues primarily related to Latin American operations; (iii) the development and implementation of a restructuring plan for U.S. and Latin America operations.
• Counsel to one of the largest Brazilian-based ethanol and sugar producer company on general corporate and other matters.
• Assist in drafting purchase agreement, side letters, notes, collateral agreements, performed due diligence and coordinated closing sale of a division of a Brazilian corporation, including communications with outside counsel for environmental, labor and transportation, lender's counsel and minority members' representative.
• Assist in aircraft financing operations; Lease financing structures, including various cross-border leveraged and other tax-driven lease structures.
• Assist in the acquisition of Brazilian sugar producer company.
• Advised multi-national corporations, particularly those dealing with South America countries with international business transactions in the energy field.
• Designed compliance programs and trained employees for multinational corporations in all areas of Brazilian law including contract, labor, antitrust, bidding and public-private partnership, and corporate matters.
• Researched, analyzed and drafted memorandum and contracts in consumer and aviation law in Brazil.
• Assist in operating lease transactions, including leases to carriers in North America and South and Central America involving complex residual value risk, return condition, subleasing and insurance provisions.
