Charles' practice focuses on the general corporate and transactional matters of small to medium-sized businesses with a special emphasis on the interests of their owners.  As a CPA and an attorney, his practice spans such diverse areas as business formations including but not limited to S-corporations, partnerships, limited liability companies and professional associations, business governance issues and formalities, financing, private equity funding, private placement memorandums, employment matters, contracts, leases, asset and stock sales, acquisitions, mergers, liquidations, consolidations, tax-free reorganizations, conversions, real estate and bankruptcy planning.

In addition to providing representation to the entities, Charles' practice actively addresses the various issues impacting the owners of such entities including but not limited to succession planning, shareholder agreements, buy-sell agreements, estate planning, tax planning and asset preservation. 

Charles represents companies and their owners in a broad array of industries including oil and gas (oil and gas storage, compression, drilling motors, and LNG), real estate (development and construction of commercial property), healthcare (ophthalmology, optometry and pediatrics), electrical distribution and pet service providers (pet kennels).  Charles has been involved in several of the largest salt dome storage projects in the United States.

  • Represented an Austrian entity in the sale of its U.S. chemical trading subsidiary to a Japanese corporation.
  • Represented majority shareholder of project company in the developing and financing of one of the largest dog kennels in Houston .
  • Represented foreign lenders and domestic borrowers in all types of commercial lending and finance matters, including mortgage loans secured by commercial real estate.
  • Represented a U.S. developer in connection with the proposed development of LNG project in Port Lavaca, Texas.
  • Represented a U.S. developer in connection with the proposed development of syngas project in Port Arthur, Texas.
  • Represented numerous start-up companies, private equity investors and developers in a variety of industries including software, oil and gas, healthcare, and real estate.
